SWEEPSTAKES DESCRIPTION: The Ford Music Video Challenge (“Sweepstakes”) begins at 8:00 PM Eastern Time (“ET”) on 3/17/10 and ends at 7:59 PM ET on 5/21/10 (“Sweepstakes Period”). Administrator’s computer is the official time keeping device for the Sweepstakes.

SPONSOR: Ford Motor Company, One American Road, Dearborn, MI 48126.

ADMINISTRATOR: Exposure Marketing & Promotions, Inc., 1000 North Opdyke Rd, Auburn Hills, MI 48326.

ELIGIBILITY: The Sweepstakes is open only to legal residents of the fifty (50) United States and District of Columbia (U.S.) who are at least eighteen (18) years of age or the age of majority in his/her state of residence, whichever is older as of date of entry (“Entrant”). Employees (and the immediate families [spouses and parents, in-laws, siblings and children and their respective spouses, regardless of where they reside] and members of the same household of such employees, (whether or not related) of Ford Motor Company (“Sponsor”), Fox Broadcasting Company, News Corporation, Fox.com, AmericanIdol.com, Fox Digital Media, FremantleMedia North America, Inc., American Idol Productions, Inc., 19 Management, 19 TV Limited, 19 Merchandising Ltd., CKX, Inc., Team Detroit, Inc., and their respective parents, divisions, affiliates, dealers, subsidiaries and advertising and promotion agencies, including Exposure Marketing & Promotions , Inc. and companies involved in the implementation and execution of the Sweepstakes (collectively the “Sweepstakes Entities”) are not eligible to enter. Sweepstakes is void in Puerto Rico, and U.S. Territories and jurisdictions (including overseas military installations) and where prohibited.

AGREEMENT TO THE OFFICIAL RULES: By participating in the Sweepstakes, each Entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and the Administrator, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

HOW TO ENTER: Visit www.americanidol.com/ford/challenge (the “Website”) during the Sweepstakes Entry Periods, answer the video trivia questions for that Period’s video, complete the online entry form with the required contact information, (“Entry”) and submit the completed Entry as directed. Answers to video trivia questions do not affect chances of winning. ALL ONLINE ENTRIES MUST BE SUBMITTED BY 7:59 PM ET on 5/21/10.

Limit: One (1) Entry per person or email address per Entry Period (as defined below). Maximum nine (9) Entries total per person per email address. In the event more than one (1) Entry is received from any one person or email address per Entry Period, the first Entry processed will be considered the only valid Entry received for that Entry Period. In the event of a dispute, Entries will be deemed made by the authorized account holder of the email address submitted at the time of Entry. The authorized account holder is the natural person who is assigned to the email address by an internet access provider, online service provider, or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Any potential winner may be required to show proof of being the authorized account holder. Entries that are incomplete or corrupted are void. Sweepstakes Entities are not liable for late or misdirected Entries.

WINNER SELECTION AND VERIFICATION:

EIGHT (8) WEEKLY PRIZE WINNERS: A total of eight (8) Weekly Prize winners will be selected (one per Entry Period) in random drawings according to the prize drawing schedule below from among all Entries received for the applicable Entry Period.

ONE (1) GRAND PRIZE WINNER: One (1) Grand Prize Winner will be selected in a random drawing conducted on or about 5/22/10 from among all eligible non-winning Entries received during the entire Sweepstakes Period.

Drawings will be conducted by Administrator, an independent judging organization. Entries not selected for any Entry Period will be retained for the Grand Prize drawing. Administrator will attempt to contact potential winners by phone. Potential winners must be prepared and able to travel within 48 hrs of winner selection on the applicable trip dates and must respond by telephone within six (6) hours of the Administrator’s first attempt to contact him/her in order to be eligible to claim the prize. Potential winners must be able to receive calls from a blocked/unlisted number. If a potential winner timely responds, Administrator will orally request information from the potential winner to confirm preliminary eligibility, including potential winner’s availability to attend the Weekly Prize trip. If a potential winner is deemed potentially eligible based on the preliminary questions, Administrator will send an Affidavit of Eligibility and Liability and, unless prohibited by law, a Publicity Release form (“Affidavit/Release”) to the potential winner by email or facsimile to be executed and returned by email or facsimile within twenty-four (24) hours from the delivery of Administrator’s email or facsimile. If the potential winner cannot be contacted within the specified time after the first attempt to contact him/her, if he/she fails to execute and return the Affidavit/Release within twenty-four (24) hours, if he/she is unable to travel on the Weekly or Grand Prize trip, or if he/she is otherwise ineligible to receive the prize, that potential winner will be deemed ineligible. An alternate will be selected in his/her place and Administrator will attempt to contact and obtain the required Affidavit/Release from that potential winner. The winner’s guest must be 18 years of age or older and will be required to sign a Liability Release and where permitted by law, a Publicity Release prior to issuance of travel documents. Except where prohibited by law, acceptance of prize constitutes permission for Sponsor to use winner’s name, hometown, likeness, statements and other personally identifiable information for promotional, advertising and marketing purposes in any media throughout the world without additional prize, incentive, consideration, consent or review. Potential winners may be subject to a background investigation at Sponsor’s discretion. Sponsor reserves the right to disqualify a potential winner based on the basis of their review of the results of the background investigation. If the winner is disqualified for any reason an alternate winner will be selected. Odds of winning any drawing depends on the number of eligible Entries received for that drawing. Limit: One (1) Prize per person or household.

PRIZES / APPROXIMATE RETAIL VALUE (ARV): The following prizes will be awarded -

One (1) Grand Prize – A 2011 Ford Fiesta, featuring Winner’s choice of a custom design by one of the Top 12 American Idol contestants (ARV/MSRP $30,000) and a trip for two (2) to the American Idol finale in Los Angeles, CA on or about 5/24/10 through 5/27/10 (ARV $3,000). Grand Prize trip consists of round-trip, coach air travel from the major commercial airport nearest winners residence to Los Angeles, CA (or ground transportation if winner resides within a 200-mile radius of Los Angeles), three nights hotel accommodations (room & tax only, based on double occupancy), admission for two (2) to the American Idol finales, local ground transportation (between airport/hotel and to and from Sponsor-selected events) and $500 cash. Total ARV of Grand Prize is $33,000.

Eight (8) Weekly Prizes (one per Entry Period) – A 2011 Ford Fiesta, featuring Winner’s choice of a custom design by one of the Top 12 American Idol contestants (ARV/MSRP $30,000) and a trip for two (2) to Los Angeles, CA for a Ford/American Idol ‘Experience’ (ARV $3,500). ‘Experience’ consists of round-trip, coach air travel from the major commercial airport nearest winners residence to Los Angeles, CA (or ground transportation if winner resides within a 200-mile radius of Los Angeles), four nights hotel accommodations (room & tax only, based on double occupancy), admission for two (2) to the set of a Ford Music Video shoot, admission for two (2) to an American Idol show, local ground transportation (between airport/hotel and to and from Sponsor selected events) and $500 cash. Total ARV of each Weekly Prize is $33,500.

Total ARV of all Prizes is $301,000.

PRIZE RESTRICTIONS: Prize Vehicles - Ford Fiesta vehicle’s ARV based on 2010 Manufacturers Suggested Retail Price of a base model. Specialty enhancements/design upgrades may not be covered by standard limited warranty provided by Sponsor in regards to the Prize Vehicles (copy available at Ford dealers). Winners will be responsible for sales tax, registration, license, title and insurance fees and cost of any available optional equipment not provided with vehicle. Winners must a have valid U.S. driver’s license and proof of insurance to take delivery. Delivery date and time will be determined by Sponsor and may take up to six (6) months from time of prize award. Weekly Prize Vehicles and Grand Prize Vehicle awarded, as determined by Sponsor in its sole discretion, will be delivered as a custom designed Ford Fiesta. Prize Vehicles or any part thereof may differ from any prize shown in promotional materials and may not be transferred or assigned. Prize Trips - All expenses and costs related to acceptance and use of the prize trip not expressly listed above, including but not limited to, meals, beverages, taxes and gratuities, are entirely the winner’s responsibility. The winners and guests must travel on the dates specified by Sponsor and must travel on the same itinerary. No refund or compensation will be made in the event of the cancellation or delay of any flight. If a winner is unable or unwilling to travel on the dates specified, the prize will be forfeited and awarded to an alternate. All activities are subject to change and availability. If a winner lives in the vicinity of Los Angeles, CA (in Sponsor's sole opinion) the winner will receive ground transfers in lieu of airfare, and no additional airfare prize will be awarded. If a winner chooses to not take a travel companion, then the travel companion elements will be forfeited and the remaining elements shall constitute full satisfaction of the Prize. Admission to the Ford Music Video shoots and 2010 American Idol shows/finale are subject to change and availability. In the event that the two (2) admissions for any prize trip are unavailable for any reason or if the Ford Music Video shoot or American Idol program is cancelled or postponed for that prize trip, that element(s) will be forfeited and the remaining elements for that Prize shall constitute full satisfaction of the Prize. All Prizes - Prizes may not be transferred or assigned. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute the prize in whole or in part with another prize of comparable or greater value if the intended prize is not available for any reason as determined by the Sponsor in its sole discretion. Winners will be responsible for all applicable taxes (not limited to federal, state, local and/or income) on prize and will be required to provide his/her Social Security number or tax ID# for tax reporting purposes. Sponsor will file where required an IRS Form 1099 with the Internal Revenue Service for the fair market value of prize.

GENERAL CONDITIONS / RELEASE: By participating, Entrants (a) release Sweepstakes Entities, their respective directors, officers, agents and employees from any and all liability for any claims, costs, injuries, losses or damages of any kind caused by their participation, including the unauthorized or illegal access to personally identifiable or sensitive information or the acceptance, possession, use, or misuse of the prize; and (b) acknowledge that said parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to a prize including, but not limited to the prize quality or availability except for Sponsor and the limited warranty provided with the Prize vehicles. Neither Sweepstakes Entities nor any service providers are responsible for incorrect or inaccurate transcription of Entry information, or for any human or other error, technical malfunctions, lost/delayed data or voice transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or Website or to complete a telephone call or facsimile transaction, or any other error or malfunction, or late, lost or misdirected mail, or any injury or damage to participant’s or any other person’s computer or television related to or resulting from participation in this Sweepstakes. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE, TAMPER WITH THE ENTRY PROCESS, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If for any reason the Sweepstakes is not capable of being executed as planned, or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of entrants, technical failures or any other causes which in the opinion of and/or Sponsor, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to disqualify any suspect Entry or Entrant and to cancel, terminate, modify or suspend the Sweepstakes. In the event of any cancellation, termination or suspension, notice thereof will be posted at www.americanidol.com/ford/challenge and the determination of the winners will be made, from among all eligible, non-suspect Entries received as of the date of the termination, cancellation or suspension, as Sponsor determines in its sole discretion. Entries not complying with all rules are subject to disqualification.

GOVERNING LAW/JURISDICTION/DISPUTE RESOLUTION: Entrants agree that (a) any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan or the appropriate Michigan State Court located in Oakland County, Michigan; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to, claim punitive, incidental and consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of Michigan.
