SWEEPSTAKES DESCRIPTION: The Ford F-150 BCS Tailgate Sweepstakes ("Sweepstakes") begins at 12:00 AM Eastern Time ("ET") on 10/30/09 and ends at 7:59 AM ET on 1/3/10 ("Sweepstakes Period").

SPONSOR: Ford Motor Company, 16800 Executive Drive, Dearborn, MI 48126.

ADMINISTRATOR: Exposure Marketing & Promotions, Inc., 1000 North Opdyke Rd, Auburn Hills, MI 48326.

ELIGIBILITY: The Sweepstakes is open only to legal residents of the 48 contiguous United States and District of Columbia ("U.S.") who are 21 years of age or older with a valid driver's license as of date of entry ("Entrant"). Employees, directors and officers and their immediate families (spouses and siblings, parents and children and their spouses) and household members of Ford Motor Company, Fox Broadcasting Company, Team Detroit, Inc., the Allstate Sugar Bowl, the FedEx Orange Bowl, the Tostitos Fiesta Bowl, Atlantic Coast Conference, Big East Conference, Big 10 Conference, Big 12 Conference, Conference USA, Mid-American Conference, Mountain West Conference, Pac-10 Conference, Southeastern Conference, Sun Belt Conference, Western Athletic Conference, University of Notre Dame, Exposure Marketing, Inc., and their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies and companies involved in the design, implementation and execution of the Sweepstakes (collectively the "Sweepstakes Entities") are not eligible. Sweepstakes is void in Alaska, Hawaii, Puerto Rico and U.S. Territories and jurisdictions (including overseas military installations) and where prohibited. For the avoidance of doubt, the Sweepstakes Entities, with the exception of Ford Motor Company, are not sponsors of this Sweepstakes.

AGREEMENT TO THE OFFICIAL RULES: By participating in the Sweepstakes, each Entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and the Administrator, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

HOW TO ENTER: To enter the Sweepstakes, visit www.bcstailgate.com (the "Web site") during the Sweepstakes Period, complete the online entry form with the required contact information ("Entry") and submit the completed Entry as directed. ALL ONLINE ENTRIES MUST BE SUBMITTED BY 7:59 AM EST on 1/3/10. Limit: One (1) Entry per person or email address. In the event more than one (1) Entry is received from any one person or email address, the first Entry processed will be considered the only valid Entry received for the Sweepstakes. Any attempt by an Entrant to obtain more than the stated number of Entries by using multiple or different email addresses or identities will void that Entrant's Entries and that Entrant may be disqualified. In the event of a dispute, Entries will be deemed made by the authorized account holder of the email address submitted at the time of Entry. The authorized account holder is the natural person who is assigned to the email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Any potential winner may be required to show proof of being the authorized account holder. Use of any automated system to participate is prohibited and will result in disqualification.

PRIZES / APPROXIMATE RETAIL VALUE (ARV):

One (1) Grand Prize -2010 Ford F-150 Ultimate Tailgate Vehicle (ARV $68,000).

One (1) First Prize - A seven (7)-day trip for two (2) from 12/31/09 to 1/6/10 to attend the Allstate Sugar Bowl in New Orleans, LA (1/1/10), the Tostitos Fiesta Bowl in Glendale, AZ (1/4/10), and the FedEx Orange Bowl in Miami, FL (1/5/10). Trip consists of coach air travel for two (2) originating from and concluding at the commercial airport nearest winner's residence, six (6) nights, hotel accommodations (room and tax only, based on double occupancy), local ground transportation (between airports, hotels and Sponsor-selected events), two (2) tickets to the Allstate Sugar Bowl, Tostitos Fiesta Bowl and FedEx Orange Bowl games, $1,050 (ARV $12,750) and the opportunity to participate in the Grand Prize Event (see details below) for the chance to win the Grand Prize.

One (1) Second Prize - A three (3)-day trip for two (2) from 1/4/10 to 1/6/10 to attend the FedEx Orange Bowl in Miami, FL (1/5/10). Trip consists of coach air travel for two (2) originating from and concluding at the commercial airport nearest winner's residence, two (2) nights, hotel accommodations (room and tax only, based on double occupancy), local ground transportation (between airports, hotels and Sponsor-selected events), two (2) tickets to the FedEx Orange Bowl and $450 (ARV $3,700) and the opportunity to participate in the Grand Prize Event (see details below) for the chance to win the Grand Prize.

Total ARV of all prizes is the amount of $84,450.

PRIZE RESTRICTIONS: Grand Prize - Vehicle ARV based on the projected Manufacturer's Suggested Retail Price. Winner is responsible for all federal, state and local taxes, registration, license, title and insurance fees and for all costs associated with any available upgrade/option packages and any other expenses related to the acceptance and use of the prize not specified herein. Winner must take delivery of vehicle within 30 days of notice of availability from Sponsor-selected dealer near winner's residence. Delivery date and time will be determined by Sponsor and may take up to six (6) months from time of prize award. Grand Prize Tailgate package options (beyond standard new production vehicle applicable warranties) will not be covered by any factory or parts warranty. Should any tailgate options malfunction for any reason whatsoever, the repair or replacement costs are entirely the winner's responsibility and the winner(s) shall have no potential claim against the Sweepstakes Entities. Details of the Ford New Vehicle Limited Warranty are available at all Ford Dealerships in the United States. Winner must have a valid U.S. driver's license and proof of insurance to take delivery. Vehicle may differ from any prize shown in promotional materials and may not be transferred or assigned. In the event that the Grand Prize winner is unable (for any reason) or chooses not to take delivery of the vehicle, the Sponsor reserves the right not to award the Grand Prize. Trip Prizes - All travelers must possess required travel documents (e.g., valid photo ID) prior to departure. Finalist and Guest of Finalist will be required to sign liability release and where permitted by law a publicity release ("Release") prior to issuance of travel documents. Travel guest must be at least 21 years of age, unless he/she is the child of Finalist and in that case the Release must be ratified and signed by minor's parent or legal guardian. Travel is subject to availability, and certain blackout dates may apply. All expenses and costs related to acceptance and use of the trip portions of the prize not expressly listed above including, but not limited to, meals, beverages, taxes and gratuities, are entirely the winner's responsibility. Hotel accommodations are standard room/double occupancy. Winners and their guests must travel on the same itinerary and on the dates and times specified by Sponsor or prize will be forfeited and awarded, where practical, to an alternate. Multiple guests/travel companions or variations to any set itinerary on any prize trip will not be managed by Sponsor or Administrator and any additional cost for any such changes will be the sole responsibility of the winner. If a winner lives in the vicinity of any prize destination (in Sponsors sole opinion), that winner will receive ground transfers in lieu of air travel and no additional compensation will be awarded. No refund or compensation will be made in the event of the cancellation or delay of any flight. Sponsor is not responsible if any of the games are delayed, postponed or cancelled for any reason, in which event that portion of prize is forfeited in its entirety and no substitution will be provided except as in Sponsor's sole discretion.

All Prizes - Prizes will be awarded in the name of the winners and are not transferable or exchangeable for cash; however, Sponsor reserves the right to substitute a prize of comparable or greater value due to unavailability. No substitution or transfer of prize by winner permitted. Winners will be responsible for all applicable taxes (not limited to federal, state, local and/or income) on all aspects of their prize. Winners will be required to provide his/her Social Security number or tax ID for tax reporting as Sponsor will file an IRS Form 1099 with the Internal Revenue Service for the fair market value of Prize and the winner will be responsible for paying all applicable taxes. WI residents will not be responsible for sales tax on the vehicle Grand Prize. Except where prohibited by law, acceptance of a prize constitutes permission for Sponsor to use winner's name, hometown, likeness, statements and other personally identifiable information for promotional, advertising and marketing purposes in any media throughout the world without additional prize, incentive, consideration, consent or review; and, upon request, winners will provide written consent to such use.

FIRST AND SECOND PRIZE DRAWINGS: Potential First and Second Prize winners will be selected in random drawings conducted on or about the dates specified in the prize drawing schedule below from among all eligible Entries received during the corresponding Entry Period.

Drawings will be conducted by Administrator, an independent judging organization. Entries not selected for any drawing will be retained for subsequent drawings. Administrator will attempt to notify each potential winner by telephone between the hours of 8:00 AM ET and 1:00 PM ET on the drawing dates listed above. Potential winner(s) must respond by telephone within four (4) hours of the Administrator's first attempt to contact him/her in order to be eligible to claim the prizes. If a potential winner responds within four (4) hours of the Administrator's first attempt to contact him/her, the Administrator will orally request information from the potential winner to confirm preliminary eligibility, including potential winner's availability to travel on the dates specified and attend all games specified in the prize description for the prize won. If a potential winner is deemed potentially eligible based on the preliminary questions, Administrator will send an Affidavit of Eligibility and Liability and, unless prohibited by law, a Publicity Release form ("Affidavit/Release") to the potential winner by email or facsimile. The potential winner must execute and return the Affidavit/Release to Administrator by email or facsimile within twenty-four (24) hours from the delivery of Administrator's email or facsimile to be eligible to claim the prize. If the potential winner cannot be contacted within the specified time after the first attempt to contact him/her, if he/she fails to execute and return the Affidavit/Release within the required time period, if he/she is unable or unwilling to attend and participate in the Grand Prize Event or if he/she is otherwise ineligible to receive the prize, that prize will be forfeited and an alternate winner will be selected in his/her place. In that event, Administrator will attempt to contact and obtain the required Affidavit/Release from that potential winner. PRIZE WINNERS ARE SUBJECT TO VERIFICATION BY THE SPONSOR AND/OR ADMINISTRATOR. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT HAS BEEN NOTIFIED THE ELIGIBILITY VERIFICATION IS COMPLETE. Potential winners may be subject to a background investigation at sponsor's discretion. Sponsor reserves the right to disqualify a potential prize winner on the basis of their review of the results of the background check. Odds of winning any drawing depend on the number of eligible Entries received for that drawing. Limit: One (1) Prize per person or household.

GRAND PRIZE EVENT: The verified First and Second Prize Winners ("Finalists") will participate in the Grand Prize Event ("Event") which will determine the Grand Prize Winner. Event to be conducted under the supervision of Administrator, whose decisions in all matters of the Event are final. Finalists are required to attend the FedEx Orange Bowl in Miami, FL, on 1/5/10 and the Grand Prize Event will be at a date and time pre-determined by Sponsor in order to be eligible to win the Grand Prize. If a Finalist fails for any reason to appear for the Event, the opportunity to participate in the Grand Prize Event will be forfeited and no alternate participants will be selected. All Finalists must possess and present upon request their own valid driver's license. Failure to possess, present, or execute requested documentation in a timely fashion, meet any eligibility requirement, or comply with any of the instructions herein will result in disqualification. At the Grand Prize Event, one (1) Finalist will be determined to be the winner of the Grand Prize. If the Event is cancelled or postponed for any reason, the Grand Prize will be awarded in a random drawing from among the Finalists. The odds of a Finalist becoming the Grand Prize winner are 1:2.

GENERAL CONDITIONS / RELEASE: By participating, Entrants (a) release Sweepstakes Entities, their respective directors, officers, agents and employees from any and all liability for any claims, costs, injuries, losses or damages of any kind caused by their participation, including the unauthorized or illegal access to personally identifiable or sensitive information or the acceptance, possession, use, or misuse of the prize; (b) if a prize winner (except where prohibited by law) consents to the use by Sponsor and/or Administrator of his/her name, hometown, likeness, statements and other personally identifiable information for promotion, advertising and marketing purposes in any media throughout the world without additional consideration and consent or prior review, and upon request will provide written consent to such use; and (c) acknowledge that said parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to a prize including, but not limited to the prize quality or availability except for Sponsor and the limited warranty provided with the prize vehicle. Neither Sweepstakes Entities nor any service providers are responsible for incorrect or inaccurate transcription of Entry information, or for any human or other error, technical malfunctions, lost/delayed data or voice transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or Web site or to complete a telephone call or facsimile transaction, or any other error or malfunction, or late, lost or misdirected mail, or any injury or damage to participant's or any other person's computer related to or resulting from participation in this Sweepstakes. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE, TAMPER WITH THE ENTRY PROCESS, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW. Failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If for any reason the Sweepstakes or any part of it is not capable of being executed as planned, or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of entrants, technical failures, or any other causes which, in the opinion of Administrator and/or Sponsor, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Administrator reserves the right at its sole discretion to disqualify any suspect Entry or Entrant and to cancel, terminate, modify or suspend the Sweepstakes or any part of it. In the event of any cancellation, termination or suspension, notice thereof will be posted at www.bcstailgate.com and the determination of the prize winners will be made from among all eligible, non-suspect Entries received as of the date of the termination, cancellation or suspension, as Administrator determines in its sole discretion. Entries not complying with all rules are subject to disqualification.

DISPUTES: Entrants agree that (a) any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan or the appropriate Michigan state court located in Oakland County, Michigan; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' fees; and (c) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrants' rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of Michigan.
