OFFICIAL RULES

SWEEPSTAKES DESCRIPTION: The 2014 Built Ford Tough (“BFT”) Good Works Sweepstakes (“Sweepstakes”) is offered only in the 50 United States and District of Columbia (“U.S.”) and begins at or after 12:00 AM Eastern Time (“ET”) on 1/3/14 and ends at 11:59 PM ET on 10/12/14 (“Sweepstakes Period”). Administrator’s computer is the official timekeeping device for the Sweepstakes.

SPONSOR: Ford Motor Company, One American Road, Dearborn, MI 48126.

ADMINISTRATOR: Exposure Marketing & Promotion, Inc., 1000 North Opdyke Rd., Auburn Hills, MI 48326.

ELIGIBILITY: The Sweepstakes is open only to legal residents of the fifty (50) United States and District of Columbia (U.S.) who are at least twenty-one (21) years of age or older, with a valid driver's license, as of date of entry (“Entrant”). Employees (and the immediate families [spouses and parents, in-laws, siblings and children and their respective spouses, regardless of where they reside] and members of the same household of such employees, whether or not related) of Ford Motor Company (“Sponsor”), Professional Bull Riders, Inc., and their respective parents, divisions, affiliates, dealers, subsidiaries and advertising and promotion agencies, including Team Detroit, Inc. and Exposure Marketing & Promotion, Inc., and companies involved in the implementation and execution of the Sweepstakes (collectively, the “Sweepstakes Entities”) are not eligible to enter. Sweepstakes is void in Puerto Rico, U.S. Territories and jurisdictions (including overseas military installations) and where prohibited.

AGREEMENT TO THE OFFICIAL RULES: By participating in the Sweepstakes, each Entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and the Administrator, which are final and binding in all matters related to the Sweepstakes. Winning the prize is contingent upon fulfilling all requirements set forth herein.

HOW TO ENTER: There are two (2) ways to enter the Sweepstakes –

1) VIA EVENT – Sweepstakes Entry will be made available at Sponsor-selected participating event locations (an “Event” or the “Events”) throughout the Sweepstakes Period. To receive one (1) Sweepstakes Entry, Event attendees must register on-site and complete an official entry form by providing all requested information via handheld computer device or ballot, available while supplies last, at an Event during the posted hours of operation of that Event (“Event Entry”). ALL EVENT ENTRIES MUST BE RECEIVED BY THE POSTED CLOSING TIME OF EACH EVENT.

2) VIA WEBSITE – During the Sweepstakes Period, visit www.ford.com/goodworks (the “Website”), complete the online entry form with the required contact information (“Entry”) and submit the completed Entry as directed. ALL ONLINE ENTRIES MUST BE SUBMITTED BY 11:59 PM ET on 10/12/14. In the event more than one (1) Entry is received from any one person or email address, the first entry processed will be considered the only valid Entry received for the Sweepstakes. In the event of a dispute, Entries will be deemed made by the authorized account holder of the email address submitted at the time of Entry. The authorized account holder is the natural person who is assigned to the email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses, or the domain associated with the submitted email address. The potential winner may be required to show proof of being the authorized account holder. Entries that are incomplete or corrupted are void. Limit: One entry per person or email address, regardless of method of entry.

PRIZES/APPROXIMATE RETAIL VALUE (ARV): The following prizes will be awarded:

ONE (1) GRAND PRIZE – A 2014 Ford F-150 with EcoBoost (ARV $50,000) and a trip for two (2) to attend the 2014 Professional Bull Riders Built Ford Tough World Finals (the “World Finals”) in Las Vegas, NV, projected to take place 10/22/14 – 10/27/14 (actual event dates have not yet been finalized and are subject to change). Trip consists of roundtrip coach air travel from a major airport near winner’s home (determined by Sponsor in its sole discretion) to Las Vegas, NV; five (5) nights’ hotel accommodations (standard room, double occupancy); local ground transportation; two (2) tickets to the 2014 World Finals on 10/22, 10/23, 10/24, 10/25, and 10/26; various Sponsor-selected events and activities; and a $500 Gift Card. ARV of Grand Prize is $54,100.

ONE (1) GOOD WORKS CHARITABLE PRIZE – Grand Prize winner's choice of charity (subject to Sponsor's/Administrator's approval, which may be granted or withheld in its sole discretion) will receive a 2014 Ford F-series Truck with ARV not to exceed $50,000 and a $25,000 cash donation. ARV of Good Works Charitable Prize is up to $75,000.

Maximum ARV of all prizes is $129,100.

GRAND PRIZE WINNER SELECTION AND VERIFICATION: One (1) Grand Prize winner will be selected on or about 10/13/14 from among all eligible entries received during the Sweepstakes Period. Drawing will be conducted by Administrator, an independent judging organization. Administrator will attempt to contact potential winner by phone. Potential winner must respond by telephone within twenty-four (24) hours of the Administrator’s first attempt to contact him/her in order to be eligible to claim the prize. If the potential winner timely responds, Administrator will orally request information from the potential winner to preliminarily confirm eligibility, including potential winner’s availability to attend the 2014 World Finals. If the potential winner is deemed potentially eligible based on his/her responses to the preliminary questions, Administrator will send an Affidavit of Eligibility and Liability and, unless prohibited by law, a Publicity Release form (“Affidavit/Release”) to the potential winner by email or facsimile to be executed and returned by email or facsimile within forty-eight (48) hours from the delivery of Administrator’s email or facsimile. Potential winner understands and agrees that an executed email or facsimile version of the Affidavit/Release shall have the same effect as an executed paper copy of same. If the potential winner cannot be contacted within the specified time after the first attempt to contact him/her, if he/she fails to execute and return the Affidavit/Release within the required time period, or if he/she is otherwise ineligible to receive the prize, such individual will forfeit the prize and an alternate will be selected in his/her place and Administrator will attempt to contact and obtain the required Affidavit/Release from the alternate potential winner. Except where prohibited by law, acceptance of prize constitutes permission for Sponsor to use winner’s name, hometown, likeness, statements and other personally identifiable information for promotional, advertising and marketing purposes in any media throughout the world without additional prize, incentive, consideration, consent or review. Potential winner may be subject to a background investigation at Sponsor’s sole discretion. Potential winner agrees to cooperate fully with Sponsor and its designees with regard to the conduct of the background check, providing all necessary consents, information and/or materials upon request. Sponsor reserves the right, in its sole discretion, to disqualify potential winner based on its review of the results of the background check or if potential winner fails to fully cooperate in the conduct of the background check. Should the potential winner be disqualified in conjunction with the background check, he/she will forfeit all rights to the prize and will not receive compensation or an alternate prize of any kind. Sponsor's decisions with regard to the background check are final and binding in all respects. Odds of winning depend on the number of eligible Entries received for the drawing.

PRIZE RESTRICTIONS: Grand Prize/Vehicle Prize - Grand Prize Winner is responsible for vehicle registration, license, tax, title and insurance fees and for all costs associated with any available upgrade/option not provided with the prize vehicle and any other expenses related to the acceptance and use of the prize not specified. Winner must take delivery of vehicle within 30 days of notice of availability from Sponsor-selected dealer near winner’s residence or the Grand Prize may be forfeited in its entirety. Winner must have a valid U.S. driver’s license and proof of insurance to take delivery. Vehicle awarded may differ from any vehicle shown in promotional materials. Vehicle model year, color, options and equipment will be determined by Sponsor in its sole discretion. Grand Prize Trip - If Grand Prize winner resides within reasonable driving distance of Las Vegas, NV (as determined by Sponsor/Administrator in their sole discretion), Sponsor reserves the right to provide ground transportation in lieu of air transportation for winner and guest. All other expenses not described above (including but not limited to taxes, fees or meals, gratuities, insurance, personal and hotel incidentals, transfers and additional ground transportation) are sole responsibility of winner. Sponsor is not responsible for date change, postponement or cancellation of the World Finals. In the event of date change, postponement or cancellation of the World Finals, Prize will be awarded without tickets to the World Finals on the same itinerary (as determined by Sponsor) and no additional compensation will be provided. If alternate Grand Prize winner is selected (as discussed above) but cannot be validated in time to attend the World Finals, Prize will be awarded without tickets to the World Finals on the same itinerary (as determined by Sponsor) and no additional compensation will be provided. Winner and his/her guest must travel together on the same itinerary and must travel on dates specified by Sponsor so as to attend the World Finals or prize will be forfeited in its entirety. Travel guest must sign and return a Liability Release and Publicity Release (where lawful) [“Release”], prior to issuance of travel documents. Travel guest must be at least 21 years of age, unless he/she is the child of a Prize winner, in which case the Release must be ratified and signed by minor’s parent or legal guardian. Travel subject to availability, blackout dates and other restrictions. Once travel documents are issued, neither travel arrangements nor guest may be changed without the express approval of Sponsor, which may be withheld for any reason whatsoever. World Finals tickets are subject to terms and conditions, with actual seat location being of Sponsor's sole choosing. Gift Card subject to terms and conditions of Issuer; Issuer shall be of Sponsor's sole choosing. Additional restrictions may apply. Actual value of Prize trip may vary due to airfare fluctuations and departure location. Any difference between stated ARV and actual value will not be awarded. Sponsor shall not be responsible for any cancellation, delay, diversion or substitution, or any act or omission whatsoever by the air carriers, hotel or other transportation companies or any other person providing any of these services and accommodations, including but not limited to any change in services or accommodations necessitated by same. Winner and guest will not receive any frequent flyer miles, award points or other “perks” in conjunction with prize travel. Grand Prize: In General – Prize must be accepted in its entirety or not at all. Winner will be responsible for all applicable taxes (not limited to federal, state, local and/or income) on all aspects of prize won and will be required to provide their Social Security number or tax ID for tax reporting purposes as Sponsor will file an IRS Form 1099 with the Internal Revenue Service for the fair market value of any prize awarded and accepted. Prize may not be transferred or assigned. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute the prize in whole or in part with another prize of comparable or greater value if the intended prize is not available for any reason as determined by the Sponsor in its sole discretion. In the event that a prize winner is disqualified for any reason, the prize will be forfeited and may be awarded to an alternate at the Sponsor’s sole discretion.

Good Works Charitable Prize: In General – Entrant may nominate a charity to receive the Good Works Charitable Prize, if he/she wishes, but Entrant is NOT required to do so. If Entrant chooses to nominate a charity, he/she can nominate as a charity any entity whose mission is to improve society or the public good, or some segment thereof, in some meaningful way (that is, the entity has a bona fide objective OTHER THAN its own profit/commercial gain), regardless of whether the entity has been formally recognized under Internal Revenue Code Sec. 501(c)(3) or other applicable law as a not-for-profit entity. All decisions as to whether an entity ultimately qualifies for nomination and will receive Good Works Charitable Prize will be made by Sponsor/Administrator in their sole discretion, without liability of any kind. If Sponsor/Administrator determines that entity does not qualify for nomination, Sponsor/Administrator may but are in no way obligated to allow Grand Prize winner to select an alternate entity to receive Good Works Charitable Prize, with such alternate selection again being subject to Sponsor's/Administrator's approval in their sole discretion. Sponsor/Administrator will award the Good Works Charitable Prize to Rider Relief Resources, Inc. d/b/a Rider Relief Fund (an Internal Revenue Code Sec. 501(c)(3) non-profit organization, registered in the State of Colorado; 101 W. Riverwalk, Pueblo, CO 81003) or to another replacement charity of their sole choosing, should Sponsor/Administrator determine that the entity/entities selected by Grand Prize winner do not qualify for nomination for any reason, OR SHOULD GRAND PRIZE WINNER FAIL TO NOMINATE ANY ENTITY FOR THE GOOD WORKS CHARITABLE PRIZE. Regardless of whether or not entity nominated by Grand Prize winner receives Good Works Charitable Prize, Grand Prize winner will NOT receive any charitable deduction or tax benefit in conjunction with award of Good Works Charitable Prize. For the avoidance of doubt, while Grand Prize winner will nominate a charity to receive the Good Works Charitable Prize, the final decision as to which charity will receive the Good Works Charitable Prize will be made by Sponsor in its sole discretion and Sponsor (NOT the Grand Prize winner) will donate the Good Works Charitable Prize to charity. As a condition of prize award, charity which receives Good Works Charitable Prize (“recipient entity”) agrees to use its best efforts to assist Ford Motor Company in securing all available tax and other legal benefits in conjunction with the award of Good Works Charitable Prize to recipient entity as well as to participate in media events, promotional/public relations opportunities and similar activities upon Sponsor's request without compensation. Prize may not be transferred or assigned by recipient entity. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute the prize in whole or in part with another prize of comparable or greater value if the intended prize is not available for any reason as determined by the Sponsor in its sole discretion.

Good Works Charitable Prize: Vehicle Prize - Recipient entity will be responsible for vehicle registration, license, tax, title and insurance fees and for all costs associated with any available upgrade/option not provided with the prize vehicle and any other expenses related to the acceptance and use of the prize not specified. Recipient entity must take delivery of vehicle within 30 days of notice of availability from Sponsor-selected dealer near headquarters or other designated location of recipient entity or the Good Works Charitable Prize may be forfeited in its entirety. Vehicle must be used to further the charitable mission/objectives of recipient entity, NOT for personal purposes of recipient entity personnel/officers/directors/employees/volunteers. Vehicle awarded may differ from any vehicle shown in promotional materials. Vehicle model year, color, options and equipment will be determined by Sponsor in its sole discretion. If value of prize vehicle is less than $50,000, recipient entity will NOT receive the difference in cash.

Good Works Charitable Prize: Cash Prize - $25,000 cash prize will be awarded in the form of a check to recipient entity. Cash prize must be used to further the charitable mission/objectives of recipient entity, NOT for personal benefit of recipient entity personnel/officers/directors/employees/volunteers.

GENERAL CONDITIONS/RELEASE: By participating, Entrants release Sweepstakes Entities, their respective directors, officers, agents and employees from any and all liability for any claims, costs, injuries, losses or damages of any kind caused by their participation, including the unauthorized or illegal access to personally identifiable or sensitive information or the acceptance, possession, use or misuse of the prize; and acknowledge that said parties have neither made nor are in any manner responsible or liable for any warranty representation or guarantee, expressed or implied, in fact or in law, relative to a prize, including but not limited to the prize quality or availability except for Sponsor's limited warranty provided with the prize vehicles. Neither Sweepstakes Entities nor any service providers are responsible for incorrect or inaccurate transcription of Entry information, or for any human or other error, technical malfunctions, lost/delayed data or voice transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any Website or mobile site, to complete a telephone call or facsimile transaction, or any other error or malfunction, or any injury or damage to participant’s or any other person’s computer or wireless device related to or resulting from participation in this Sweepstakes. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR MOBILE SITE, TAMPER WITH THE ENTRY PROCESS OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If for any reason the Sweepstakes is not capable of being executed as planned, or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of Entrants, technical failures or any other causes which, in the opinion of Administrator and/or Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Administrator reserves the right at its sole discretion to disqualify any suspect Entry or Entrant and to cancel, terminate, modify or suspend the Sweepstakes. In the event of any cancellation, termination or suspension, notice thereof will be posted at www.ford.com/goodworks and the determination of the Grand Prize Winner will be made, from among all eligible, non-suspect Entries received as of the date of the termination, cancellation or suspension, as Administrator determines in its sole discretion. Entries not complying with all rules are subject to disqualification.

GOVERNING LAW/JURISDICTION/DISPUTE RESOLUTION: Entrants agree that (a) any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan or the appropriate Michigan state court located in Oakland County, Michigan; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant's rights and obligations, the rights and obligations of any third party entity, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the state of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the state of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of Michigan.
