SWEEPSTAKES DESCRIPTION: The Valentine's Day Getaway Powered by Ford Warriors in Pink ("Sweepstakes") is offered only in the forty-eight (48) contiguous United States and District of Columbia ("U.S."), (specifically excluding Alaska and Hawaii) and consists of eighty-six (86) Daily Prize drawings and two (2) separate Grand Prize drawings (see Winner Selection and Verification below for details). Sweepstakes begins on or about 12:00 AM Eastern Time ("ET") on 1/5/10 and ends at 3/31/10 at 11:59 PM ET ("Sweepstakes Period").

SPONSOR: Ford Motor Company, 16800 Executive Drive, Dearborn, MI 48126 ("Sponsor"). Warner Bros. Entertainment, Inc., New Line Productions, Inc. and each their parents, affiliates and subsidiaries are not responsible for the promotion, administration or execution of this Sweepstakes.

ADMINISTRATOR: Exposure Marketing & Promotion, Inc., 1000 North Opdyke Rd, Auburn Hills, MI 48326 ("Administrator").

ELIGIBILITY: The Sweepstakes is open only to legal residents of the forty-eight (48) contiguous United States or District of Columbia who are at the age of majority in his/her state of residence as of date of entry ("Entrant"). Employees, directors and officers and their immediate families (spouses and siblings, parents and children and their spouses) and household members of Ford Motor Company ("Sponsor"), Team Detroit Inc., Exposure Marketing, Inc., Performance Entertainment USA, Inc., Warner Bros. Entertainment Inc., New Line Productions, Inc. and their respective parent companies, subsidiaries and affiliates and companies involved in the implementation and execution of the Sweepstakes (collectively, the "Sweepstakes Entities") are not eligible to enter or win. Sweepstakes is void in Alaska, Hawaii, Puerto Rico and other US Commonwealths, Territories and jurisdictions (including overseas military installations) and where prohibited by law. To be eligible for travel portions of prizes, the winner must be available to travel on the dates designated by Sponsor.

AGREEMENT TO THE OFFICIAL RULES: By participating in the Sweepstakes, each Entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and the Administrator, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

HOW TO ENTER: To enter the Sweepstakes, visit fordcares.com/valentinesdaymovie (the "Website") during the Sweepstakes Period, complete the online Entry form with the required contact information ("Entry") read and agrees to these Official Rules and submit the completed Entry as directed. ALL ENTRIES MUST BE SUBMITTED BY 11:59 PM ET on 3/31/10. Limit: One (1) Entry per person or email address per day during the Sweepstakes Period. In the event more than one (1) Entry is received from any one (1) person or email address per day, the first Entry processed that day will be considered the only valid Entry received. In the event of a dispute, Entries will be deemed made by the authorized account holder of the email address submitted at the time of each Entry. The authorized account holder is the natural person who is assigned to the email address by an internet access provider, online service provider, or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Any potential winner may be required to show proof of being the authorized account holder. In the event a dispute regarding the identity of the individual who actually submitted an Entry cannot be resolved to Sponsor's satisfaction, the affected Entry will be deemed ineligible. Entries generated by a script, computer programs, macro, programmed, robotic or other automated system to participate is prohibited and may result in disqualification. Entries that are incomplete, illegible, false, lost, misdirected, deceptive, corrupted or otherwise not in compliance with the Official Rules are void at Sponsor's sole and absolute discretion. The Website's database clock will be the official time keeper for this Sweepstakes.

WINNER SELECTION AND VERIFICATION: Daily Prizes - A total of eighty-six (86) Daily Prize winners (one (1) per day during the Sweepstakes Period) will be selected in random drawings conducted on or about the day following the date of entry from among all eligible Entries received that day. For purposes of this Sweepstakes, a day will begin at 12:00 AM ET and end at 11:59 PM ET. Entries not selected as a winner for a Daily drawing will not be retained for subsequent Daily drawings. Potential Daily Prize winners will be notified in a commercial reasonable time after the drawing occurs by email may be required to complete and return a Declaration of Eligibility and Liability Release and except where prohibited by law, a Publicity Release Form ("Affidavit/Release") within three (3) days of receipt. In the event that a potential winner is disqualified for any reason, the prize will be forfeited and awarded to an alternate. Daily Prize Winners are still eligible to win a Grand Prize. Limit: One (1) Daily Prize per person or email address during the Sweepstakes Period. Grand Prizes - A total of two (2) Grand Prize winners will be selected. The first Grand Prize winner will be selected in a random drawing among all eligible Entries received from 12:00 AM ET on 1/5/10 through 11:59 PM on 1/31/10, the drawing for which will be conducted on or about 2/1/10 (the "Grand Prize Period 1"). The second Grand Prize winner will be selected in a random drawing among all eligible entries received from 12:00 AM ET on 1/5/10 through 11:59 PM on 3/31/10, the drawing for which will be conducted on 4/1/10 (the "Grand Prize Period 2"). Entries not selected as a winner for a Grand Prize drawing will be retained for subsequent Grand Prize drawings. All prize drawings will be conducted by Administrator, an independent judging organization. Grand Prize Period 1 Prize - Administrator will attempt to contact potential Grand Prize Period 1 winner by phone beginning at 8:00 AM ET on 2/1/10. Potential Grand Prize Period 1 winner must respond by telephone within six (6) hours of the Administrator's first attempt to contact him/her in order to be eligible to claim the prize. Potential winner must be able to receive calls from a blocked/unlisted number. If a potential winner timely responds, Administrator will orally request information from the potential winner to confirm preliminary eligibility, including potential winner's availability to attend the Grand Prize trip. If a potential winner is deemed potentially eligible based on the preliminary questions, Administrator will send an Affidavit of Eligibility and Liability and, unless prohibited by law, a Publicity Release form ("Affidavit/Release") to the potential winner by email or facsimile to be executed and returned by email or facsimile within a specified amount of time from the delivery of Administrator's email or facsimile. If the potential winner cannot be contacted within the specified time after the first attempt to contact him/her, if he/she fails to execute and return the Affidavit/Release within the time specified, if he/she is unable to travel on the Grand Prize trip, or if he/she is otherwise ineligible to receive the prize, that potential winner will be deemed ineligible. An alternate will be selected in his/her place and Administrator will attempt to contact and obtain the required Affidavit/Release from that potential winner. Grand Prize Period 2 Prize - Potential Grand Prize Period 2 winner will be notified via phone and/or email within a commercially reasonable time after the Grand Prize Period 2 drawing and Grand Prize winner will be required to complete and return an Affidavit of Eligibility and Liability Release and except where prohibited by law, a Publicity Release Form ("Affidavit/Release") within five (5) days of receipt. Failure to timely return any required executed documents may cause prize to be forfeited and awarded to an alternate as solely determined by Administrator. The guest of both Grand Prize winners must be the age of majority in their state of residence and will be required to sign a Liability Release and where permitted by law, a Publicity Release prior to issuance of travel documents. Potential winners may be subject to a background investigation at Sponsor's discretion. Sponsor reserves the right to disqualify a potential winner based on the basis of their review of the results of the background investigation. If the winner is disqualified for any reason an alternate winner will be selected. Entries not selected for the Grand Prize Period 1 drawing will be retained for the Grand Prize Period 2 drawing. Limit: One (1) Grand Prize per person or household. ODDS: Odds of winning a prize will depend on the total number of eligible Entries received for the applicable Entry Period.

PRIZES / APPROXIMATE RETAIL VALUE ("ARV"): The following prizes will be awarded - One (1) Period 1 Grand Prize - A trip for two (2) for the Period 1 Grand Prize winner and one (1) guest to attend the premiere of the movie Valentine's Day in Los Angeles, CA currently scheduled for on or about 2/8/10 through 2/10/10 (ARV $6,000). Period 1 Grand Prize trip consists of round-trip, coach air travel from the major commercial airport nearest Grand Prize winner's residence to Los Angeles, CA (or ground transportation if Period 1 Grand Prize winner resides within a 200-mile radius of Los Angeles), two (2) nights hotel accommodations (single standard room & tax only, based on double occupancy), admission for two (2) to the Valentine's Day movie premiere (all details as determined by Sponsor in its sole discretion), hair and makeup for Period 1 Grand Prize winner only, local ground transportation (between airport/hotel and to and from Sponsor-selected events) and $1,000 cash. Total ARV of Grand Prize 1 is $6,000 and will vary depending on airfare. The premiere portion of the prize has no cash value and the premiere is subject to cancellation or change. The winner is advised to arrive at least one (1) hour prior to premiere start time. Selection and specifics of the Grand Prize will be determined in the Sponsor's sole discretion. The tickets to the premiere are subject to the following limitations and restrictions: (i) Theater will be overbooked to ensure a full house; (ii) Not all ticket holders will be admitted; (iii) Seating is on a first-come, first served basis; and (iv) No one will be admitted without a ticket or after the premiere begins. One (1) Period 2 Grand Prize - A 2011 Ford Fiesta (ARV/MSRP $25,000) and a trip for two (2) for the Period 2 Grand Prize winner and one (1) guest to Los Angeles, CA to tour locations that inspired the set for the Valentine's Day movie (ARV $6,000 and will vary depending on airfare). Period 2 Grand Prize trip consists of round-trip, coach air travel from the major commercial airport nearest Period 2 Grand Prize winners residence to Los Angeles, CA (or ground transportation if Period 2 Grand Prize winner resides within a 200-mile radius of Los Angeles), two (2) nights hotel accommodations (single standard room & tax only, based on double occupancy, local ground transportation (between airport/hotel and to and from Sponsor-selected events) and $1,000 cash. Total ARV of Grand Prize 2 is $31,000; Fifty-five (55) Movie Pass Daily Prizes (1/5/10 - 2/28/10) - Two (2) passes to the movie Valentine's Day currently scheduled for release in theaters 2/12/10 (ARV $25); Thirty-one (31) T-Shirt Daily Prizes (3/1/10 - 3/31/10) - One (1) Ford Warrior's in Pink Heart of the Warrior t-shirt (ARV $20). Total ARV of all Daily Prizes is $1,995. Total ARV of all Prizes is $38,995.

GENERAL PRIZE RESTRICTIONS: Grand Prize Vehicle: Grand Prize winner is responsible for vehicle registration, license, title, taxes and insurance fees, destination and handling charges, and other fees associated with automobile, including any travel and transportation costs associated with collecting the vehicle and for all costs associated with any available upgrade/option packages or equipment not provided with prize vehicle. Grand Prize winner must take delivery of vehicle within 30 days of notice of availability from Sponsor-selected dealer near winner's residence, or prize may be forfeited and awarded to an alternate. Winner must a have valid U.S. driver's license and proof of automobile insurance (as required by law and/or dealership) to take delivery, failure to show same may result in Grand Prize vehicle forfeiture. Vehicle awarded may differ from any vehicle shown in promotional materials. Vehicle color, package, options, equipment and other specifics will be determined by Sponsor in its sole discretion and are subject to availability. ARV of vehicle is as of date of printing of these Official Rules. The difference in value as stated herein and value at time of prize notification, if any, will not be awarded in cash. Except as stated in the manufacturer's limited warranty for the vehicle, neither Sponsor or any other entity associated with the manufacture, distribution, development and execution of this contest and its prize(s), or any of their respective affiliates, parent companies, subsidiaries, directors, officers, employees, and agents makes any warranties, representations or guarantees, express or implied, in fact or in law, relative to the use or enjoyment of the vehicle, including, without limitation, its quality, mechanical condition, merchantability or fitness for a particular purpose. Any and all guarantees and warranties for the Grand Prize vehicle are subject to the manufacturer's terms and conditions, and the Grand Prize winner agrees to look solely to such manufacturers for any such warranty or guarantee claim). Grand Prize Trips: All expenses and costs related to acceptance and use of the trip portion of the prize not expressly listed above, including, but not limited to, meals, beverages, hotel taxes, travel insurance, room service, bag check fees, merchandise, souvenirs, and gratuities are entirely the winner's responsibility. Hotel accommodations are standard room/double occupancy. Grand Prize Winners and guests must have all necessary identification and/or travel documents (e.g., a valid U.S. Passport) required for travel. Grand Prize Winners and his/her guest must travel on same itinerary. The round trip air transportation element for each Grand Prize begins and ends at the point of departure. The dates of departure and return are subject to change at Sponsor's sole discretion. Grand Prize Winner's guest must also complete a Liability Release prior to issuance of travel documents.Once travel documents are issued, neither travel arrangements nor guest may be changed without the express approval of Sponsor, which may be withheld for any reason whatsoever. Failure to comply with any of these conditions or the return of prize documents as undeliverable will result in forfeiture of prize, without compensation. In the event that the Valentine's Day movie premiere is delayed, postponed or cancelled for any reason, in which event that portion of prize is forfeited in its entirety and no substitution will be provided except as in Sponsor's sole discretion. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. The Grand Prize winner of the Period 1 Grand Prize trip must complete travel to Los Angeles on or before 2/8/10, or on or before such other date as Sponsor may specify. The Grand Prize winner of the Period 2 Grand Prize trip must travel on or before 12/31/10 or such other date as Sponsor may specify. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. Sponsor reserves the right to structure travel route and select hotels in their sole discretion. The Grand Prize winners will not receive cash or any other form of compensation if actual travel costs are less than the estimate made in these Official Rules. In the event a Grand Prize winner and/or his or her travel companion(s) engage in behavior that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip or other applicable experience early, in whole or in part, and send a Grand Prize winner and/or his or her travel companion(s) home with no further compensation. The Grand Prizes are subject to seat and hotel availability, as well as Sponsor's terms and conditions generally applicable thereto. Additional Grand Prize award details and travel information to be provided to Grand Prize winners at the time of Grand Prize notification. Each Grand Prize winner and guest(s) are also responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. No refund or compensation will be made in the event of the cancellation or delay of any flight except at the sole discretion of Sponsor. Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by Sponsor's airline carrier of choice as detailed in the passenger ticket contract. Lost, stolen or damaged airline tickets will not be replaced or exchanged. The Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any performer(s)/event(s), air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. If the Grand Prize winner becomes disabled or cannot otherwise fully enjoy the Grand Prize travel package due to illness, Sponsor shall have the option of: (1) being relieved of liability for fulfillment of the Grand Prize award; or (2) at Sponsor's sole discretion extending the period during which the Grand Prize may be awarded for a period equal to the duration of the Grand Prize winner's disability or illness, in which case certain prize components may not be available. The Grand Prize winner must prove such disability by a doctor's certificate, which certificate shall be endorsed by another physician agreeable to Sponsor and Grand Prize winner at Sponsor's expense. Daily Prizes - Movie passes will be awarded as VISA gift cards redeemable at a Sponsor-select movie theater near winner's hometown. Winners must attend the movie on the date specified by Sponsor. Gift cards subject to terms and conditions of Issuer. All Prizes - Prizes may not be transferred or assigned. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute the prize in whole or in part with another prize of comparable or greater value if the intended prize is not available for any reason as determined by the Sponsor in its sole discretion. Winners will be responsible for all taxes (not limited to federal, state, local and/or income) on the prize they receive and will be required to provide, to Administrator, his/her Social Security number or tax ID for tax reporting purposes. WI residents will not be responsible for sales tax on the vehicle portion of the Grand Prize. Administrator will file an IRS Form 1099 with the Internal Revenue Service for the fair market value of prize.

GENERAL CONDITIONS / RELEASE: By participating, Entrants agree to release, defend, indemnify and hold harmless the Sweepstakes Entities, and each of their respective directors, officers, agents and employees from any and all liability for any claims, costs, injuries, losses or damages of any kind caused by Entrant's participation in the Sweepstakes, including the unauthorized or illegal access to personally identifiable or sensitive information or Entrant's acceptance, possession, use, or misuse of their prize (including, without limitation, any property loss, damage, personal injury or death caused to any person(s)). Winners assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Sweepstakes or use or redemption of a prize. The Sweepstakes Entities shall not be liable for any loss or damage to (a) any baggage or any unauthorized intervention whether or not caused by any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity(ies), equipment failure, including overloading of the Website due to excessive use, threatened terrorist act(s), terrorist act(s), air raid(s), blackout(s), act(s) of public enemy, earthquake(s), war(s) (declared or undeclared), fire(s), flood(s), epidemic(s), explosion(s), unusually severe weather, hurricane(s), embargo(s), labor dispute(s) or strike(s) (whether legal or illegal), vandalism, labor or material shortage(s), transportation interruption(s) of any kind, work slow-down(s), civil disturbance(s), insurrection(s), riot(s), abductions, or any other similar or dissimilar cause(s) beyond Sponsor's sole and reasonable control; or (b) printing or other errors appearing in the Official Rules or other Sweepstakes materials. Sweepstakes Entities shall not be liable for any loss, theft or damage of cash, cameras, jewelry, securities, heirlooms, negotiable papers or other valuables. Each prize winner (except where prohibited by law) consents to the use by Sponsor of his/her name, hometown, likeness, statements and other personally identifiable information for promotion, advertising and marketing purposes in any media throughout the world without additional consideration and consent or prior review, and upon request will provide written consent to such use. Winners acknowledge that the Sweepstakes Entities have neither made nor are in any manner responsible or liable for representation or guarantee, expressed or implied, in fact or in law, relative to a prize. Neither Sweepstakes Entities nor any service providers are responsible for incorrect or inaccurate transcription of Entry information, or for any human or other error, technical malfunctions, lost/delayed data or voice transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or Website or to complete a telephone call or facsimile transaction, or any other error or malfunction including failure to timely contact selected winner after a reasonable effort, or late, lost or misdirected mail, or any injury or damage to participant's or any other person's computer related to or resulting from participation in this Sweepstakes, including, without limitation, by way of computer virus. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE, TAMPER WITH THE ENTRY PROCESS, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES OR INSTANT WIN GAME MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW. Failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If for any reason the Sweepstakes or any part of it is not capable of being executed as planned, or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of Entrants, technical failures or any other causes which in the opinion of Administrator and/or Sponsor, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Administrator reserves the right at its sole discretion to disqualify any suspect Entry or Entrant and to cancel, terminate, modify, suspend the Sweepstakes or any part of it (or take any other action Sponsor deems necessary). In the event of any cancellation, termination or suspension, notice thereof will be posted at www.fordcares.com/valentinesdaymovie and the determination of the prize winner will be made, from among all eligible, non-suspect Entries received as of the date of the termination, cancellation or suspension, as Administrator determines in its sole discretion. Entries not complying with all rules are subject to disqualification. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes materials, privacy policy or terms of use on the Website and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control.

GOVERNING LAW/JURISDICTION/DISPUTE RESOLUTION: Entrants agree that (a) any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan or the appropriate Michigan State Court located in Oakland County, Michigan; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' fees; and (c) under no circumstances will registrant be permitted to obtain awards for, and registrant hereby waives all rights to, claim punitive, incidental and consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of Michigan.
